1. About these Terms
These Terms and Conditions ("Terms") govern your use of Lead Airo, a lead management service provided by DXG Softs ("DXG Softs", "we", "us" or "our"). Lead Airo includes the web application, the Lead Airo apps for Android and iOS, the public lead forms, the APIs, and this website (together, the "Service").
By creating an account, signing in, or using the Service, you agree to these Terms. If you use the Service on behalf of a company or other organisation, you confirm that you are authorised to accept these Terms for it, and "you" includes that organisation. If you do not agree, do not use the Service.
If your organisation has signed a separate written agreement or order form with us, that agreement takes priority over these Terms where the two conflict.
2. Definitions
- Customer: the company or organisation that subscribes to Lead Airo and for which a Lead Airo workspace is set up.
- User: an individual the Customer allows to use its workspace, such as an administrator, manager or sales executive.
- Administrator: a User with the Company Admin role, who manages the workspace, its Users and its settings.
- Customer Data: all information entered into or collected through the Customer's workspace, including leads, contact details, notes, tasks, attachments, form submissions and custom fields.
3. Accounts and access
- The Service is for business use. You must be at least 18 years old to use it.
- Accounts are created by the Customer's Administrators, by invitation, or by registering a new workspace where that is offered. You must give accurate information and keep it up to date.
- You are responsible for keeping your password secret and for all activity under your account. Tell your Administrator and us straight away if you suspect unauthorised use.
- The Customer is responsible for deciding who gets access, which roles and permissions they have, and for removing access when someone leaves.
- Each Customer is given a server address for its workspace. Users of the mobile apps enter this address once when they first sign in.
4. Acceptable use
You agree not to, and not to let anyone else:
- use the Service for anything unlawful, fraudulent or harmful, or to store or send content that infringes anyone's rights;
- use the Service to send unsolicited marketing or spam, or to contact people in breach of applicable law, including the Telecom Commercial Communications Customer Preference Regulations and other "Do Not Disturb" rules;
- upload malware, or try to gain unauthorised access to the Service, other workspaces or our systems;
- probe, scan or test the security of the Service without our written permission;
- copy, modify, reverse engineer or decompile the Service, except where the law allows it despite this restriction;
- resell, sublicense or provide the Service to third parties except as we have agreed in writing;
- overload the Service, interfere with its operation, or use automated means to access it other than through our published APIs.
We may suspend access that breaks this section, as described in section 12.
5. Your data
- Ownership. The Customer owns its Customer Data. We claim no ownership of it.
- Our use. The Customer grants us a limited right to host, copy, process and display Customer Data only as needed to provide, secure and support the Service, and as the Customer instructs through the Service. We do not sell Customer Data or use it for advertising.
- Your responsibilities. The Customer is responsible for the accuracy of Customer Data and for having a lawful basis, including any required notice and consent, to collect and use the personal data of its leads and contacts. Under the Digital Personal Data Protection Act, 2023, the Customer is the Data Fiduciary for that personal data and we process it on the Customer's behalf.
- Exports. Users with the right permissions can export leads to CSV or Excel at any time.
- Backups. We take regular backups to recover from incidents. Backups are not a substitute for the Customer keeping its own exports of important data.
How we handle personal data is described in our Privacy Policy.
6. Mobile apps
We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the Lead Airo apps on devices you own or control, only to access the Service under these Terms. Your use of an app store is also subject to that store's terms (for example Google Play's or Apple's).
For apps downloaded from Apple's App Store: these Terms are between you and DXG Softs, not Apple. Apple has no obligation to provide maintenance or support for the app, and is not responsible for any claims relating to it. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
We may release updates, and may require you to install an update before you can keep using the app, for example when an older version is no longer secure or compatible.
7. Fees and payment
- Fees, billing period and plan limits are set out in your quotation, order form or invoice.
- Fees are exclusive of taxes. Applicable taxes, including GST, are added to invoices.
- Unless your order says otherwise, invoices are due within 15 days and fees already paid are not refundable.
- If payment is overdue by more than 30 days, we may suspend the workspace after giving notice. We will restore access once overdue amounts are paid.
- We may change our fees for a future billing period by giving at least 30 days' notice.
8. Availability, support and changes
- We work to keep the Service available and secure, but we do not promise it will be uninterrupted or error-free. Planned maintenance will be scheduled to limit disruption where possible.
- Support is provided by email at projects@dxgsofts.com, or as set out in your order.
- We may improve, change or remove features. If a change materially reduces the Service you have paid for, we will tell you in advance.
9. Third-party services
Some features open or rely on services we do not control. For example, tapping Call, WhatsApp or Email opens your phone's dialler, WhatsApp or your email app, and emails are delivered through email providers. Your use of those services is governed by their own terms, and we are not responsible for them.
10. Intellectual property
The Service, including its software, design, logos and the Lead Airo name, belongs to DXG Softs and its licensors and is protected by law. These Terms do not transfer any of those rights to you. Apart from the right to use the Service under these Terms, all rights are reserved.
If you send us feedback or suggestions, we may use them without any obligation to you.
11. Confidentiality
Each party will keep the other's non-public business information confidential, use it only for the purposes of these Terms, and protect it with reasonable care. This does not apply to information that is or becomes public through no fault of the receiving party, or that must be disclosed by law, in which case the receiving party will give notice where it lawfully can.
12. Suspension and termination
- The Customer may stop using the Service at the end of its current billing period by telling us in writing.
- We may suspend or terminate access, with notice where reasonable, if you materially breach these Terms, do not pay fees when due, or if your use creates a security or legal risk to the Service or others.
- After termination, the Customer can ask us for an export of its Customer Data within 30 days. After that period we will delete Customer Data from the live Service, and it will be removed from backups as they expire, unless the law requires us to keep it.
- Sections that by their nature should continue after termination (including sections 5, 10, 11, 13, 14, 15 and 16) will continue.
13. Disclaimers
To the extent the law allows, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not guarantee any particular business result from using the Service.
14. Limitation of liability
To the extent the law allows:
- neither party is liable for indirect, incidental, special or consequential losses, or for loss of profits, revenue, goodwill or data, even if advised of the possibility;
- our total liability arising out of or relating to the Service or these Terms is limited to the fees the Customer paid us for the Service in the 12 months before the event that gave rise to the claim.
Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud.
15. Indemnity
The Customer will defend and indemnify DXG Softs against third-party claims, losses and reasonable costs arising from Customer Data, or from the Customer's or its Users' use of the Service in breach of these Terms or the law.
16. Governing law and disputes
These Terms are governed by the laws of India. The parties will first try in good faith to settle any dispute informally. If that fails, the courts at [CITY, STATE] will have exclusive jurisdiction.
17. Changes to these Terms
We may update these Terms from time to time. We will post the updated version on this page and change the effective date above. For material changes we will give reasonable notice, for example by email or in the Service. If you keep using the Service after the changes take effect, you accept the updated Terms.
